Due diligence software is the working layer under any transaction review: it stores the evidence, tracks what has been requested and shows who has read what. The best platforms turn a request list into a living checklist, so both sides can see what is still outstanding without a weekly status call.

How the process runs
Due diligence starts with a request list: legal, financial, tax, commercial and technical questions grouped by workstream. The target uploads documents against each request, reviewers read them and raise follow-up questions, and the list slowly moves from open to closed. On a mid-sized deal the list can run to several hundred lines across five or six advisory firms.
The software decides how much of that tracking happens inside the room and how much in spreadsheets. Search quality matters because reviewers look for clauses (change of control, exclusivity, termination) across hundreds of contracts. AI features help with first-pass sorting and summaries, but the findings still go into a report written by people.

Does AI in due diligence software replace lawyers?
No. Current AI features speed up sorting, searching and first-pass summaries. Judgement on what a clause means for the deal still sits with the review team.
What should a buyer check before relying on AI summaries?
Ask where processing happens, whether customer files train any model, whether AI can be switched off per room, and whether AI actions appear in the audit trail.
What is the difference between a due diligence room and an M&A room?
Mostly the emphasis. A due diligence room is built around reviewing documents against requests, with search and reporting. An M&A room adds bidder separation and staged access for a competitive sale.
Can AI replace manual document review?
No. It can sort, search and summarise, which shortens the first pass. Reviewers still read the documents that matter and sign off the findings.
