An M&A process puts more strain on the software than almost any other use. Several bidders log in at once, each must stay blind to the others, the seller answers hundreds of questions under deadline, and the whole record has to survive for years after closing. Software that handles one buyer comfortably can fall apart when the second round opens.

How the process runs
A sale process usually runs in two rounds. In the first, a teaser and information memorandum go out, a handful of bidders sign NDAs and get access to a limited room. In the second, the shortlisted bidders see the full document set, send their advisers in, and put questions to management through the Q&A module. Signing follows a confirmatory phase in which the room is often frozen as the disclosed record.
The software therefore has to change shape during the deal: new folders opened to fewer parties, sensitive schedules switched to view-only, and a growing Q&A log that lawyers later rely on when drafting the disclosure letter. The room is also evidence. If a warranty claim follows closing, the audit trail and the archived copy show what the buyer was given and when.
