2. Put up to three platforms side by side

The twelve features, explained

Diligence workflow

Q&A workflow 13 of 18
Buyers post questions inside the room; the seller routes, answers and publishes them with a full record.
Bulk import 17 of 18
Drag whole folder trees into the room with structure and numbering kept.
Activity log 18 of 18
A log of who opened, downloaded or printed which file and when, exportable for the deal record.
AI assistance 5 of 18
Machine assistance listed by the vendor, such as auto-indexing, summaries, document search or Q&A help.

Document protection

Viewer watermarks 18 of 18
Each page carries the viewer name, email or time, so a leaked copy points back to its source.
File-level access rights 15 of 18
Per-file control over view, print and download, sometimes with view-only or expiring access.
In-app redaction 7 of 18
Black out personal data or privileged passages inside the room instead of re-uploading edited files.
2-step verification 14 of 18
A second login step (code or app) for admins and guests.

Integrations

SSO sign-in 7 of 18
Staff log in with company credentials through an identity provider (SAML or OpenID Connect).
Developer API 6 of 18
A documented interface for creating rooms, syncing users and pulling activity into your own systems.
Built-in e-signing 5 of 18
Sign NDAs, consents or closing documents without leaving the platform.
iOS or Android app 4 of 18
A native iOS or Android app, beyond the mobile browser view most rooms offer.

Reading the matrix

Only 7 platforms list all six deal controls (Q&A, audit trail, watermarking, redaction, document rights and bulk upload): Datasite, iDeals, Drooms, Intralinks, Firmex, SmartRoom, Venue by DFIN. Most of the rest miss redaction, which is the most common gap among dedicated deal rooms. File-sharing platforms tend to be the reverse: strong on single sign-on, APIs and mobile apps, missing the Q&A module.

That split is the main reason to filter by features before reading reviews. A team that needs both a Q&A module and single sign-on will find the list shrinks fast, as the table below shows.

Frequently asked questions

Which features should every data room have?

At minimum: permission groups, an audit trail, two-factor login and dynamic watermarking. For a process with outside bidders, add a Q&A module and document rights control (view, print and download per file).

Which data room software has redaction?

7 of 18 platforms list built-in redaction: Datasite, iDeals, Drooms, Intralinks, Firmex, SmartRoom, Venue by DFIN.

Which data rooms support single sign-on?

7 of 18 list single sign-on: Datasite, iDeals, Ansarada, Box, Intralinks, Citrix ShareFile, ShareVault.

Is a missing feature always a deal-breaker?

No. Some vendors sell features as add-ons, and some needs can be met outside the room (redacting before upload, for example). Separate true must-haves from conveniences before you filter.
